Connecting your software (end-user license agreement)

These connection terms apply when a business connects its software to Kalus LLC ("Kalus"). They sit under the business's signed agreement with Kalus (its master services agreement, statements of work and data processing agreement). If anything here conflicts with the signed agreement, the signed agreement wins.

1. Who can connect

Only a business that has a signed agreement with Kalus, through a person allowed to approve the connection for that business (normally the software account's admin).

2. What you allow

By approving a connection (on the software's approval screen or, where the software uses keys, by creating a key for Kalus), the business lets Kalus access its software with the permissions granted, only to provide the services in its agreement. Some software can only grant more access than Kalus uses. Kalus's administration connections only read: Kalus does not add, change or delete data through them. Anything a service adds or changes is set out in the business's statement of work.

3. Your license

Kalus gives the business a limited, non-exclusive, non-transferable right to use the Kalus connections for its own business while its agreement is in force. The business may not resell them, give others access to them, or copy or reverse-engineer them.

4. Your part

• Keep your software accounts and passwords secure.
• Approve connections only for accounts you are entitled to connect.
• Tell Kalus when someone with access leaves, or when the business changes software.

5. Disconnecting

The business can disconnect a connection at any time from inside its software, or ask Kalus to remove it. After that, Kalus can no longer read the account through that connection. Each connection is separate, and Kalus will list a business's connections on request. Information Kalus already holds is handled as the privacy policy and the data processing agreement describe.

6. Other companies' software

QuickBooks Online is provided by Intuit Inc. and Jobber by its owner, each under their own terms. Kalus is independent and is not endorsed by either; their names are trademarks of their owners. Their services can change or be unavailable, which can affect the connections.

7. Warranties and liability

The connections are part of the services under the signed agreement, and that agreement's warranties, disclaimers and limits of liability apply to them. To the extent the law allows, Kalus makes no other promises about them.

8. Ending

These connection terms end when the business's agreement with Kalus ends or when every connection is disconnected, whichever comes first. Sections 5, 6 and 7 continue after that.

9. Law

Virginia law applies, and the courts named in the signed agreement (Rockingham County, Virginia) hear any dispute.
